  • Dispute Resolution – Binding Arbitration and Class Action Waiver
    Any claim or dispute between you and Oregon Tool shall be resolved exclusively through confidential, final and binding arbitration. AS A RESULT, YOU ARE GIVING UP THE RIGHT TO LITIGATE A DISPUTE IN COURT BEFORE A JUDGE OR JURY.

    • G.1 (Informal Dispute Resolution Process (Pre-Arbitration)): Before you can proceed to arbitration, you must first participate in the following Informal Dispute Resolution Process – You will first contact Oregon Tool by sending a written notice of your claim(“Claimant’s Notice”) to Oregon Tool at [email protected]. The Claimant’s Notice must include: (i) your name, physical address, email address, and telephone number; (ii) a description of the claim; and (iii) the specific relief sought. If Oregon Tool asserts a claim against you, Oregon Tool will first contact you by sending a written notice of its claim to you via email (“Oregon Tool’s Notice”).After receipt of either Claimant’s Notice or Oregon Tool’s Notice, you and Oregon Tool shall engage in a good-faith effort to resolve the dispute for a period of 60 days (the “Informal Dispute Resolution Period”). During the Informal Dispute Resolution Period, neither you nor Oregon Tool may initiate an arbitration or other legal proceeding except as otherwise provided in this section. If the Dispute is not resolved during the Informal Dispute Resolution Period, you or we may initiate an individual arbitration as provided below.
    • G.2 (Arbitration Process): All claims must be submitted to the American Arbitration Association (AAA). The arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement. In any instance where the applicable AAA Rules and this Notice are inconsistent, this Notice shall control.If AAA fails or declines to conduct the arbitration for any reason, we will mutually select a different arbitration administrator. If we cannot agree within thirty (30) calendar days, a court of competent jurisdiction will appoint the arbitration administrator.Any in-person meeting required for the arbitration shall take place in the State of Oregon.
    • G.3 (Class Action Waiver): You and Oregon Tool agree that, to the fullest extent permitted by law, each of us may bring claims (whether in court or in arbitration) against the other only in an individual capacity, and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, coordinated, private attorney general, request for public injunctive relief, or representative proceeding. This prohibition also applies to proceedings brought by third parties.

      TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND OREGON TOOL WAIVE ANY RIGHT TO A JURY TRIAL.
